The Overview

Trane makes air conditioning and heating systems — the big chillers on top of office buildings, home units, and the refrigeration on trucks and trailers. It also services what it sells, and that servicing is now 34% of its revenue, which matters because service is steadier and usually more profitable than selling machines.

The business is growing well. Last quarter, sales rose 10.6%, and Trane helpfully told us why: about 9 points was genuine growth in the underlying business (mostly more units sold), about 1 point came from companies it bought, and a fraction from currency. In the Americas — five-sixths of the business — genuine growth was nearly 11%.

Here is the problem, and it is the only thing that matters in this report. Sales grew 10.6%. Profits grew 6.5%.

Normally a company like this makes more profit per extra dollar of sales, because the factories and salespeople are already paid for. This quarter the opposite happened. The gross profit margin — what is left after making the product — fell from 37.6 cents on the dollar to 35.6 cents. Every one of the three geographic divisions became less profitable. Europe was worst: sales actually shrank, and its profit margin fell from 18.3% to 14.7%.

The company's explanation is one clause: "inflation and investments." That may be right, and investments made today can pay off later. But it is not much of an explanation for losing two full points of gross margin.

Meanwhile, analysts still expect Trane to earn $15.14 a share this year. It earned $6.94 in the first half. So they need $8.20 in the second half against $6.74 a year ago — a 22% jump — from a company whose profits just grew 6.5%. That looks like a forecast that has not caught up.

The shares cost $472.24, or about 27 times what analysts expect for 2027. Twenty-six analysts cover it and only eleven say Buy; fourteen say Hold and one says Sell. Over the last twelve months the stock is up 7.5% while the market is up 24%.

Our estimate of fair value is $485 — about 3% above the price. That is a Hold.

Third, the consensus path: FY2026 requires second-half adjusted EPS of $8.20 against $6.74 a year earlier, +21.7%, after a first half that grew 10.5%. Fourth, the balance-sheet composition: tangible book value per share is MINUS $8.54 and tangible asset value MINUS $1,904.9 million, because goodwill of $6,457.0 million and intangibles of $3,236.7 million exceed equity of $8,600.9 million — a feature of a company assembled by acquisition, priced at 12.2 times book. Two management changes are recorded and not weighted: a new Chief Operating Officer effective 2026-07-01, and the departure of the Chief Global Integrated Supply Chain Officer effective 2026-08-01 under a separation agreement in which 'the Company is foregoing the clawback of certain sign-on bonus payments' — the filing states the departure 'is not the result of any disagreement.'"

2. The margin problem, in the company's own words

The disclosure is short and it is the whole issue.

Three observations.

First, pricing was positive and it did not save the margin. The company's own revenue bridge gives pricing +0.3% as a contributor to the 10.6% increase. A business realising price and still losing 200 basis points of gross margin is absorbing cost faster than it can pass it on, and "inflation" is doing more work in that sentence than "investments."

Second, the offset came from below the gross line, not above it. Selling and administrative expenses grew only 3.9% against revenue growth of 10.6%, falling 100 basis points to 16.3% of revenue. So Trane held the line on overhead and still could not hold segment margin — 80 basis points of consolidated segment EBITDA margin was lost. That narrows the problem to cost of goods.

Third, EMEA is a separate and worse problem. Net revenues fell 1.5%, and the decomposition shows volume −4.1%, pricing +0.4% (organic −3.7%), acquisitions +0.1%, currency +2.1%so EMEA is shrinking in constant currency and the reported decline understates it. Segment EBITDA fell 21.1% and margin fell 360 basis points to 14.7%, against the Americas' 23.5%. EMEA is 11.0% of revenue and 7.2% of segment profit.

What this archive does NOT contain and we do not estimate around: the earnings release itself. The 8-K of 2026-07-30 states only that the company "issued a press release announcing its second quarter 2026 results", and the exhibit is not in the extracted text. A vendor defect to record before the conclusions: totalDebt changes definition mid-series. The FY2024 figure of $5,385.0M equals short-term $452.2M plus long-term $4,318.1M plus capitalLeaseObligations of $614.7M. The FY2025 figure of $4,615.1M equals short-term $693.0M plus long-term $3,922.1M with capitalLeaseObligations reported as ZERO. So the apparent $769.9M reduction in debt during 2025 is mostly a definitional change — on a like-for-like pure-debt basis the reduction was $155.2M. Estimate coverage is adequate and thins sharply. 11 analysts on FY2026 EPS, 14 on FY2027 — the anchor — 8 on FY2028, and 6 each on FY2029 and FY2030, which are excluded. The FY2027 EPS range is $16.938 to $17.912, a 5.6% spread — narrow, and narrower than it should be given the margin uncertainty.

Note the shape of the consensus: revenue growth decelerating from 10.8% to 9.1% to 8.9%, with EPS growth ACCELERATING to 15.8% by FY2028. That requires sustained margin expansion, in a company that just lost 200 basis points of gross margin and 80 basis points of segment EBITDA margin. The consensus and the most recent quarter are pointing in opposite directions, and that is the central tension in this name.

est.ebitdaAvg and est.ebitAvg are REJECTED — fixed ratios, and internally absurd. ebitdaAvg is exactly 23.75% of revenueAvg and ebitAvg exactly 23.31% in every forward year FY2026 through FY2030. The gap between them is 44 basis points — implying annual depreciation and amortisation of roughly $110 million against a reported FY2025 figure of $376.3 million. All forward valuation uses epsAvg.

Peer context is unusable. The vendor peer set — ADP, CARR, EMR, GD, JCI, LMT, MMM, NOC, PH and WM — contains Carrier and Johnson Controls, which are genuine HVAC comparables, alongside a payroll processor, three defence primes, a waste company and three diversified industrials. The payload supplies only market capitalisations and no multiples, so no peer-multiple comparison is drawn. (ADP and GD are separately covered in this same batch; CARR appears in the knowledge-base claim quoted in Section 4.)

6a. What today's price assumes (the inversion)

At $472.24 — 31.2x FY2026 consensus, 27.2x FY2027, 25.3x EV/EBITDA — the price embeds:

6b. The return bridge (why the multiple moves)

Expected return over the next twelve months decomposes as: adjusted EPS growth (+14.8%, from FY2026E $15.144 to FY2027E $17.384) + multiple drift (COMPRESSION of roughly 12%, from today's 31.2x on the current year toward about 27.5x) + shareholder yield (+2.3%)+5%.

Our base assumes meaningful multiple compression, and the reason is that we do not believe the FY2026 consensus. If the second half grows 12% rather than the required 21.7%, FY2026 lands near $14.5 rather than $15.14, and the FY2027 number comes down with it. The base of $485 is 27.9x the FY2027 consensus as published, and roughly 29x a downward-revised number — which is to say the base already assumes the estimate falls and the multiple partly holds, rather than the reverse.

If the multiple held at 31.2x FY2027E the price would be $542 (+14.8%) — approximately the street's target. If it compressed to 24x, $417 (−11.7%).

6c. Variant perception (where we differ, what would surprise)

Synthos fair values

All three anchors are multiples of the FY2027 consensus adjusted EPS distribution (mean $17.384, low $16.938, high $17.912, 14 analysts), cross-checked against FY2028E.

Base is 2.7% above spot; asymmetry roughly 1.11:1 (21.6% down, 23.9% up), before a shareholder yield of approximately 2.3%. A base within 3% of the price, a payoff ratio at parity, a Hold consensus, and a consensus estimate that requires an acceleration the most recent quarter argues against — that is a Hold.

7. Data integrity, technicals and insiders

Data integrity — four findings

1. totalDebt includes lease obligations in FY2024 and NOT in FY2025 — a mid-series definition change. FY2024's $5,385.0M = $452.2M short-term + $4,318.1M long-term + $614.7M capitalLeaseObligations; FY2025's $4,615.1M = $693.0M + $3,922.1M with capitalLeaseObligations at zero. The apparent $769.9M debt reduction during 2025 is mostly definitional; the like-for-like reduction was $155.2M. FY2023 also shows zero leases, so the FY2024 row is the outlier. All debt figures in this dive use the pure-debt basis.

2. est.ebitdaAvg and est.ebitAvg carry the fixed-ratio fabrication signature and are internally absurd — REJECTED. ebitdaAvg is exactly 23.75% of revenueAvg and ebitAvg exactly 23.31% in every forward year FY2026–FY2030. The 44-basis-point gap between them implies annual depreciation and amortisation of roughly $110 million against a reported $376.3 million in FY2025 — a 71% understatement. All forward valuation uses epsAvg.

3. The 8-K carrying second-quarter results contains no financial data. The 2026-07-30 8-K states only that a press release was issued; the exhibit is not in the extracted text. So NO management guidance of any kind is available — no revenue, EPS or margin guide — and every forward figure in this dive is consensus, labelled as such. All operating figures come from the 10-Q filed the same day, which is complete and carries preserved [TABLE] data.

4. seg_prod changed basis in 2020 and the series is not continuous. FY2019 and earlier report "Climate" and "Industrial" segments (the pre-spin structure); FY2021 onward report "Product" and "Service"; FY2020 is absent entirely. The Product/Service series from FY2021 is internally consistent and sums exactly to reported revenue in every year, and is used throughout; the pre-2020 rows are not comparable and are not used.

Where vendor and filing AGREED — recorded, and TT passes an unusual number of checks:

Non-equity tripwire — checked and passed. TT is ordinary shares of an Irish public limited company, NYSE-listed, per the Form 4 filings. Price of $472.24 is not par-like; beta is 1.195; the dividend is a variable declared amount at 0.84%; volume was 1.12M shares (~$529M of turnover); the 52-week band of $376.43 to $503.46 is a 34% range. This is common equity.

The reading, and there is one genuine item.

On 2026-03-05, director John A. Hayes bought 400 ordinary shares at $430.44 through a trust — an open-market P-Purchase. It is small, approximately $172,000, and it is the ONLY open-market purchase by any insider at any company in this entire batch. We record it as a mild positive and size it honestly: 400 shares is not a signal about a $104 billion company, but a director paying cash for stock is a different act from receiving it.

Everything else is board and executive compensation mechanics — three identical 438-share director awards on the same date, two identical 112-share tax withholdings at the same price, and the new Chief Operating Officer's on-appointment grant of 826 shares and 3,085 options struck at $484.58, which is 2.6% above today's price and is the only forward-looking price reference in the file.

Two management changes, from the 8-Ks, recorded and not weighted. Donald E. Simmons, age 55, previously Group President Americas, was appointed Executive Vice President and Chief Operating Officer effective 2026-07-01 at a base salary of $950,000. And Mingxiao (Gary) Guo, Senior Vice President and Chief Global Integrated Supply Chain Officer, departs effective 2026-08-01 under a separation agreement in which "the Company is foregoing the clawback of certain sign-on bonus payments made to Mr. Guo in connection with commencement of his employment", with the filing stating the departure "is not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices, including its controls or financial related matters." A supply-chain chief departing in the same quarter that gross margin fell 200 basis points on 'inflation' is a coincidence we note and decline to interpret.

8. Verdict, kill-criteria and flip conditions

Hold.

What is genuinely excellent. Organic revenue growth of 9.0% in the quarter and Americas organic growth of 10.8%. Service revenue at 34.4% of the total, up 280 basis points in three years — an installed-base annuity that an independent outside analysis calls 'still early innings.' Return on equity of 34.5%, return on invested capital of 19.9%, net debt of 0.78 turns, interest coverage of 18.1x, free cash flow of $2,811.5 million on capital expenditure that is only 44% of depreciation. And the best-sourced knowledge-base lane in this batch: six claims, all bullish, and one of them confirmed by the filings.

Why it is a Hold, stated as three specific reservations.

First, the profit is not following the revenue. Revenue +10.6%, Total Segment Adjusted EBITDA +6.5%, gross margin −200 basis points to 35.6%, and every one of three segments losing margin — with positive price realisation and overhead down 100 basis points as a share of revenue. That combination narrows the problem to cost of goods and it is explained in this archive by four words: 'inflation and investments.'

Second, the consensus requires an acceleration the quarter argues against. First-half adjusted EPS grew 10.5%; the FY2026 consensus of $15.144 requires the second half to grow 21.7%; the Q3 consensus requires 20.6%. And the June beat of 0.9% was smaller than the revenue beat of 2.5% — the first time in five quarters that the earnings beat undershot the revenue beat.

Third, the base case is 2.7% and the payoff ratio is at parity. Our $485 is 11.3% below the street's target, and the street itself rates the stock Hold.

Where TT fits in the Synthos Framework Portfolio. No position today. It goes on the watch list at $400 (23.0x FY2027 consensus) for a 2% initial sleeve in the quality-industrial bucket, with an alternative trigger of one clean quarter of positive operating leverage at any price below $520. Sizing note: this is a name where the business is not in doubt and the earnings estimate is. The mistake would be paying 31x a number that requires a 22% second-half acceleration, and then being unable to add when the estimate comes down and the price with it. Logged as a tracked Synthos call (Hold) as of 2026-08-04 at $472.24, with the fair-value anchors, the kill criteria and both upgrade triggers gradeable.

Single biggest risk: that the margin compression is not transitory. At 27.2 times FY2027 consensus, the price requires margin to recover — consensus has revenue growth decelerating from 10.8% to 8.9% while EPS growth accelerates to 15.8%, and the only way to reconcile those is expanding margin. The most recent quarter delivered the opposite in every segment, with positive pricing and falling overhead, which locates the problem in cost of goods and leaves 'inflation and investments' as the entire published explanation. If incremental margins stay negative, a 27x multiple on a business growing revenue 9% has nothing holding it up, and the twelve-month record — +7.5% against a market up 24.3% — suggests the de-rating has already begun.
