The Overview
When an aircraft component wears out, the airline cannot fit any part it likes — it must fit the certified one. For a great many small, unglamorous parts, TransDigm is the only company certified to make it. The part might cost a few thousand dollars; the aircraft it is grounding earns tens of thousands a day. So the airline pays.
That is the whole business, and you can see it in one number: TransDigm keeps 46 cents of operating profit on every revenue dollar. Manufacturers do not do that. Monopolists do.
The company reported results this morning and they were good — sales up 22.5%, profit per share of $10.87 against the $10.30 expected. The shares opened 5.5% higher, and then fell all day, ending down 0.82%. From the highest price of the day to the lowest was 9.3%. We do not know why: the detailed release and the guidance were published on the company's website, not filed with the regulator, so they are not in the documents we hold. We are telling you that rather than guessing.
Now the part that determines whether this is a good investment rather than a good business.
TransDigm owes $30 billion. Its interest bill was $514 million in the last three months alone — up 29.5% from a year earlier. Its shareholders' equity is negative $9.7 billion, meaning the company's liabilities exceed its assets on paper.
That is not an accident or a warning sign of failure — it is the deliberate design. TransDigm borrows money and pays it out to shareholders as occasional enormous one-off dividends. Last fiscal year it paid $9.6 billion, equal to about 13.5% of the entire company's value today. The year before that: $2.0 billion. Two years before: $38 million.
So when you see a data feed quoting TransDigm's dividend yield as 7.06%, that is describing a one-off event, not an income stream. We do not treat it as one.
Two other things happened recently that standard data feeds have not picked up. On 27 July the company agreed to buy a business called Prince & Izant for about $1.066 billion in cash — roughly three times its expected annual sales. And on 22 July it appointed a new director.
The shares cost $1,275.05, about 27 times what analysts expect the company to earn in the year to September 2027. Our fair value estimate is $1,340, only 5% above. Analysts say $1,488.
The shares have fallen 19.6% over the last year while the stock market rose 24%. Something in the market has decided that a superb business borrowed to the hilt is worth less than it was, and today's reversal did not argue otherwise.
- Downside Risk 8/10. A wonderful machine with 6.3x leverage and no shock absorber.
- Growth Quality 8/10. Revenue up 22.5%, margins near 46% — with acquisitions supplying part of it.
- Exponential Potential 4/10. A monopoly toll on a slow, permanent installed base.
Putting a number on it: our fair-value estimate is $1,340 against a current price of $1,185.97 — real upside if our numbers are right.
Our summary metrics
"Rated 8 — one of the finest operating businesses in listed industrials, deliberately financed to the edge, in a rate environment it did not choose. The business supports are exceptional: a 59.01% gross margin and a 46.05% operating margin on manufactured aerospace components; revenue growth of 22.5% in the June quarter; a 21.2% return on capital employed and a 16.0% return on invested capital; both segment blocks tying to revenue to the dollar; and a sole-source position that one knowledge-base claim puts at roughly 80% of revenue. Against that, the capital structure. Total debt is $30,030 million against $2,808 million of cash, so net debt of $27,222 million — 6.26x EBITDA, the highest leverage in this batch by a wide margin. Interest expense was $1,572 million in fiscal 2025 and $514 million in the June quarter ALONE, up 29.5% year on year, which annualises above $2.0 billion; `interestCoverageRatioTTM` is 2.43x. Shareholders' equity is MINUS $9,686 million and retained earnings MINUS $10,606 million, the consequence of $9,629 million of dividends paid in fiscal 2025 alone plus $2,038 million in fiscal 2024 — debt-funded special distributions that are the company's stated method of returning capital. `tangibleBookValuePerShareTTM` is MINUS $466.86. And the company announced a further $1.066 billion cash acquisition on 2026-07-27. Add the demand side: this is an aerospace aftermarket business whose revenue depends on flight hours, and the two prior aviation downturns took revenue down rather than sideways. A 46% operating margin financed at 6.26x is a superb machine with no shock absorber."
"Rated 8 — fast, high-quality, and part-bought. Revenue: $5,103M (FY2020), $4,798M, $5,429M, $6,585M, $7,940M, $8,831M (FY2025) — 12.8% compound over five years and 11.2% in the most recent one, through a period that included an aviation demand collapse. Diluted GAAP EPS over the same span: $8.27, $10.39, $13.40, $22.03, $25.62, $32.08 — a 31.1% compound rate, amplified by leverage and a shrinking share count. The current year is faster still: June-quarter revenue of $2,741 million was up 22.5% on $2,237 million, with the nine months at $7,570 million; operating income of $1,227 million was up 18.1%; and adjusted EPS of $10.87 beat consensus by 5.5%. Segment revenue for fiscal 2025: Power and Control $4,559M (+15.7%), Airframe $4,112M (+8.0%), Non-Aviation $160M (−15.8%). Consensus wants revenue of $10,384M (FY2026, 15 analysts), $11,357M (FY2027, 14) and $12,227M (FY2028, 14) — 17.6%, 9.4% then 7.7% — with adjusted EPS of $40.04, $47.00 and $54.00, roughly 17% then 15% growth. What holds this at 8: acquisitions supply a material share of it — $419M of net acquisition spend in fiscal 2025, $2,347M in fiscal 2024, and a further $1,066M announced on 2026-07-27 — and the consensus revenue growth rate decelerates from 17.6% to 7.7% across three years, which is the organic rate emerging as the acquisitions annualise."
"Rated 4 — an extraordinary pricing position inside an ordinary industry, compounded by a repeatable acquisition method. TransDigm buys niche manufacturers of proprietary aerospace components that no one else is certified to supply, then raises prices. A knowledge-base claim puts the sole-source share at roughly 80% of revenue and describes the consequence bluntly: 'Maintenance catch-up with no substitutes forces airlines to TransDigm... pricing power to name the price.' The arithmetic agrees — a 59.01% gross margin and a 46.05% operating margin on physical hardware is not a competitive market outcome. A second claim describes the method rather than the position: TransDigm 'operates like public private-equity, buying niche proprietary aerospace parts with pricing power and expanding margins', and a third groups it with three other serial acquirers as a category of outstanding long-run performers. Both are correct and neither is exponential. The ceiling is set by the installed base of aircraft and the hours they fly; the aftermarket is a maintenance annuity, which is a superb characteristic and a bounded one. The growth beyond that rate comes from buying more companies — $419M, $2,347M and now $1,066M in three years — which is a capital-allocation skill rather than a compounding technology, and which is financed at 6.26x net leverage. A 4: a monopoly toll on a slow-growing installed base, levered."
What does “fair value” mean?
Fair value is Synthos’s estimate of what one share is worth today, based on our model of the company’s future cash generation and the risks to it. It is not a price target or a prediction of where the stock trades next quarter — it’s the price where we think risk and reward are balanced. Above it, you’re paying for outcomes better than our base case; below it, the market is offering a margin of safety.
The model’s inputs and weightings are proprietary — they’re the product. What we publish is the output, plus an independent, public-math cross-check further down the page (“Check our number”) so you can judge it for yourself.

- "The most informative fact about TransDigm today is the shape of the session, not the result. The company reported third-quarter fiscal 2026 results this morning and beat on both lines: adjusted EPS of $10.87 against a $10.30 consensus, a 5.5% beat and the fourth consecutive one; revenue of $2,741 million against $2,677.5 million, a 2.4% beat and up 22.5% year on year. The stock OPENED at $1,355.60 — 5.5% above the prior close of $1,285.56 — traded up to $1,359.273, then fell to $1,233.11 and closed at $1,275.05, DOWN 0.82% on the day. That is a 9.3% round trip from high to low on a double beat, on 829,381 shares. No filing in this archive explains it; the earnings release is furnished as an exhibit that is not in the extract, and the guidance and slide presentation are hosted on the company's website. The technical position is a stock going nowhere at a lower level: 20.8% below the 52-week high of $1,608.98 and only 12.5% above the low of $1,132.88, 0.7% above a 50-day average of $1,266.67 and 0.5% BELOW a 200-day average of $1,280.87, with RSI at 58.4 and MACD at MINUS 0.08 — effectively zero, the flattest reading in this batch. Twelve-month return is MINUS 19.6% against SPY's +24.3%, a 44-point deficit and the worst in this batch."
- What we’re watching
- "What the market saw in the release that this archive does not contain. The 8-K furnishes the press release as Exhibit 99.1 and it is NOT in the extract; the guidance and the slide presentation are on the company's website. Any fiscal 2026 guidance revision, any commentary on aftermarket bookings, and the segment split for the June quarter are all unavailable to this dive, and the intraday reversal suggests at least one of them mattered. Watch the 2026-11-11 fourth-quarter and full-year print against a consensus of $11.62 and $2,877.1 million — a number that would take fiscal 2026 revenue to approximately $10,447 million against a consensus of $10,384 million. Watch interest expense, which was $514 million in the June quarter against $397 million a year earlier, up 29.5%, and which annualises above $2.0 billion against operating income running near $4.9 billion. Watch for the closing of the Prince & Izant acquisition, announced 2026-07-27 at approximately $1.066 billion in cash and subject to United States regulatory approval. And watch for any announcement of a further special dividend, which is how this company has historically returned capital and which is debt-funded."

- "The medium-term operating case is strong and the balance-sheet case is the offset. On operations: consensus has revenue at $10,384 million (FY2026), $11,357 million (FY2027) and $12,227 million (FY2028), with adjusted EPS at $40.04, $47.00 and $54.00 — roughly 17% then 15% growth — against a price of $1,275.05 that is 31.8x, 27.1x and 23.6x. The nine months of fiscal 2026 already delivered $7,570 million of revenue, so the full-year consensus needs a fourth quarter of $2,814 million against $2,437 million a year earlier, a 15.5% increase that is below the 22.5% just delivered. The mechanism is the aerospace aftermarket: an installed base of aircraft flying more hours, requiring maintenance, on parts for which TransDigm is frequently the only certified supplier. The margin is the evidence — 59.01% gross and 46.05% operating. On top of that sits a repeatable acquisition programme: $419 million spent in fiscal 2025, $2,347 million in fiscal 2024, and $1,066 million announced on 2026-07-27 for a business with approximately $360 million of expected 2026 revenue, majority aftermarket, at roughly 3.0x revenue. Against all of it: net debt of $27,222 million at 6.26x EBITDA, interest expense compounding at 29.5% year on year, and a $1.066 billion cash acquisition to fund."
- What we’re watching
- "Whether interest expense stabilises. It rose from $1,220 million (FY2023) to $1,344 million to $1,572 million (FY2025) and is running at $514 million a quarter — the single largest threat to the earnings path, and it is set by refinancing markets rather than by the business. Whether the leverage ratio falls from 6.26x, and whether the company chooses to deleverage or to pay another special dividend: fiscal 2025's $9,629 million distribution was 13.5% of today's market capitalisation and was funded with debt. Whether Prince & Izant closes, at what multiple after synergies, and whether the acquisition cadence continues. Whether the consensus revenue deceleration from 17.6% to 7.7% across three years reflects organic reality or conservatism. Whether the Airframe segment, growing 8.0% against Power and Control's 15.7%, reaccelerates. And whether the market's willingness to pay 27x forward earnings for a 6.26x-levered business survives if rates rise: the 44-point twelve-month underperformance suggests it is already being questioned."

Long term 2+ years
Tailwind- Driver
- "Long-run this is one of the best businesses this programme has covered and the knowledge base, thin as it is, identifies why. Roughly 80% of revenue is sole-source: an airline needing a certified replacement part has one supplier, and the part is a small fraction of the cost of the aircraft being repaired but a total constraint on returning it to service. That is the textbook condition for pricing power, and TransDigm has exercised it for two decades — a 46.05% operating margin on manufactured hardware is the proof. The aftermarket is structurally superior to original-equipment sales: it recurs for the thirty-year life of the airframe, it does not require winning a new platform, and it grows with flight hours rather than with aircraft deliveries. The acquisition method compounds it — buy a niche certified manufacturer, apply the pricing discipline, repeat — and one knowledge-base claim groups the company with three other outstanding serial acquirers on precisely that basis. What tempers the long view is that the financing model is inseparable from the operating one. TransDigm runs at 6.26x net leverage and returns capital through debt-funded special dividends, which works while credit is available and margins expand, and which has produced negative book equity of $9,686 million. The business would survive a downturn; the equity is a different question."
- What we’re watching
- "Whether the sole-source position holds against regulatory pressure on aftermarket pricing — the risk this business has always carried and which no filing in this archive quantifies. Whether flight hours keep growing; the aftermarket annuity is only an annuity while aircraft fly. Whether the acquisition pipeline supports another decade at acceptable prices, with $1,066 million just committed for approximately $360 million of revenue. Whether the leverage model survives a genuine credit tightening: interest expense has risen 28.9% in two years on a debt stack that must be refinanced perpetually. Whether the company continues paying special dividends that create negative equity, and whether that ever constrains its access to credit. And leadership: Michael J. Lisman is the chief executive named in the payload while founder W. Nicholas Howley now appears in the insider file as a director — and sold 5,528 shares at roughly $1,212 on 2026-07-20. The archive contains no succession disclosure."

Key stats an RIA wants
1. The business, and two segment blocks that both tie exactly
TransDigm designs, manufactures and supplies highly engineered aerospace components, systems and subsystems, largely on a sole-source basis, with a majority of profit from the aftermarket. Chief executive Michael J. Lisman; chief financial officer Sarah Wynne (per the 8-K signatures); approximately 16,500 employees; NYSE-listed since 2006-03-15; fiscal year ends in late September.
seg_prod sums to revenue to the dollar:
| Segment | FY2025 | share | FY2024 | YoY |
|---|---|---|---|---|
| Power and Control | $4,559M | 51.6% | $3,941M | +15.7% |
| Airframe | $4,112M | 46.6% | $3,809M | +8.0% |
| Non-Aviation Related Business | $160M | 1.8% | $190M | −15.8% |
| Total | $8,831M | 100.0% | $7,940M | +11.2% |
$8,831,000,000 against inc_a revenue of $8,831,000,000 — exact.
seg_geo also sums to revenue to the dollar, with the home market present:
| Region | FY2025 | share | FY2024 | YoY |
|---|---|---|---|---|
| UNITED STATES | $5,535M | 62.7% | $5,032M | +10.0% |
| Non-US | $3,296M | 37.3% | $2,908M | +13.3% |
| Total | $8,831M | 100.0% | $7,940M | +11.2% |
Both blocks pass the over-counting test and seg_geo passes the home-market omission test. On a batch in which one geography block summed to 166.1% of revenue and another omitted a segment worth 22.6%, TransDigm's are clean and that is reported as a finding.
One taxonomy note for completeness: the FY2012 seg_prod entry uses sixteen product-level lines (specialised valves, ignition systems, lavatory hardware and so on) rather than the three current segments. The taxonomy changed once, more than a decade ago, and every year from FY2013 forward is on the current basis.
The quarterly record, and the margin is the story:
| Quarter | Revenue | Gross margin | Operating income | Op. margin | Interest expense | GAAP diluted EPS | Adjusted EPS |
|---|---|---|---|---|---|---|---|
| Q3 FY2025 (Jun-25) | $2,237M | 59.5% | $1,039M | 46.4% | $397M | $8.47 | $9.60 |
| Q4 FY2025 (Sep-25) | $2,437M | 60.3% | $1,161M | 47.6% | $420M | $7.75 | $10.82 |
| Q1 FY2026 (Dec-25) | $2,285M | 56.7% | $1,042M | 45.6% | $475M | $6.62 | $8.23 |
| Q2 FY2026 (Mar-26) | $2,544M | 59.4% | $1,178M | 46.3% | $484M | $9.20 | $9.85 |
| Q3 FY2026 (Jun-26) | $2,741M | 59.4% | $1,227M | 44.8% | $514M | $9.39 | $10.87 |
Three observations.
First, the operating margin is astonishingly stable and slightly softer. A 44.8% to 47.6% band across five quarters, with the most recent quarter at the bottom of it. A 180-basis-point sequential decline on 7.7% sequential revenue growth is worth watching, though it is one quarter.
Second, interest expense has grown every single quarter: $397M → $420M → $475M → $484M → $514M. That is +29.5% year on year, and it is compounding faster than operating income, which grew 18.1% over the same span.
Third, the gap between GAAP and adjusted EPS is meaningful but not extreme. Trailing GAAP is approximately $32.96 against trailing adjusted of approximately $39.77 — a 1.21x ratio, driven by acquisition-related amortisation and refinancing costs. All forward multiples use the adjusted basis because every estimate in the file does.
2. The capital structure, which is the strategy
This is the section that determines the verdict, and the numbers are unambiguous.

| Total shareholders' equity | −1,984 | −6,290 | −9,686 |
| Retained earnings | −2,621 | −7,362 | −10,606 |
| Dividends paid (cash flow) | −38 | −2,038 | −9,629 |
| Interest expense | 1,220 | 1,344 | 1,572 |
Read the last two rows together and the mechanism is complete. TransDigm borrows and distributes. Fiscal 2023 paid $38 million of dividends. Fiscal 2024 paid $2,038 million. Fiscal 2025 paid $9,629 million — 13.5% of today's entire market capitalisation, in one year, funded by a $5,131 million increase in total debt. Retained earnings fell from minus $2,621 million to minus $10,606 million across the same period, which is exactly the cumulative distribution.
Negative equity therefore voids six ratios, and they are REJECTED with the mechanism rather than reported: returnOnEquityTTM of −20.44%, priceToBookRatioTTM of −6.07, debtToEquityRatioTTM of −2.74, bookValuePerShareTTM of −$209.83, tangibleBookValuePerShareTTM of −$466.86, and grahamNumberTTM, which the payload itself returns as null because the formula requires positive book value. Printing "return on equity of minus 20%" for a business earning a 21.2% return on capital employed would be arithmetically true and analytically worthless. The measures used instead are return on invested capital (16.0%), return on capital employed (21.2%) and return on assets (8.6%), all computed on positive denominators.
And the dividend field must be handled carefully. dividendPerShareTTM reads $90.00 and dividendYieldTTM reads 7.06%. That is $9,629 million divided by roughly 57 million shares — a one-off special distribution, not a quarterly dividend. TransDigm pays no regular dividend. Any screen ranking this stock as a 7% yielder is ranking a debt-funded return of capital that occurred once. This dive assigns a shareholder yield of ZERO for the purposes of the return bridge and states the special-dividend policy as an optionality rather than a stream.
Leverage, stated plainly. Net debt of $27,222 million against trailing EBITDA of approximately $4,351 million (48.84% margin on trailing revenue of $8,907M) is 6.26x — the payload's netDebtToEBITDATTM agrees. Interest coverage is 2.43x. Enterprise value is $101,891 million against a market capitalisation of $71,318 million, so 30.0% of the enterprise is debt. evToEBITDATTM of 20.85x is the correct multiple for this business and is materially above the 27.1x price-to-earnings would suggest in isolation.
3. The acquisition the payload has never heard of
From the 8-K filed 2026-07-27:
> "On July 27, 2026, TransDigm Group Incorporated announced its definitive agreement to acquire Prince & Izant ('P&I'), a portfolio company of Industrial Growth Partners, for approximately $1.066 billion in cash, including certain tax benefits... Prince & Izant, headquartered in Cleveland, Ohio, is a leading global designer and manufacturer of highly engineered brazing alloys and specialty metal components used across a range of advanced performance and high cost-of-failure applications... The Company's products are highly proprietary in nature... The Company derives the majority of its revenue from the aftermarket and supports a large installed base globally. P&I is expected to generate approximately $360 million in revenue for the calendar year ending December 31, 2026... The Company employs approximately 220 people. The acquisition is subject to regulatory approvals in the United States and customary closing conditions."
Approximately $1.066 billion for approximately $360 million of revenue is roughly 3.0x revenue, or roughly $4.8 million per employee. The strategic fit is exact — proprietary, aftermarket-weighted, high cost-of-failure — and it is the same acquisition template the knowledge base describes as operating "like public private-equity."
Two things follow for this dive. The transaction appears nowhere in the vendor payload; bal_a and cf_a end at 2025-09-30 and no estimate row reflects it. And it is a CASH acquisition of $1.066 billion by a company with $2,808 million of cash and $30,030 million of debt — which means it is funded from cash, from revolver, or from new issuance, and in any of those cases it raises leverage or reduces liquidity at a moment when interest expense is already compounding at 29.5%.
The acquisition cadence, for context: acquisitionsNet of $434M (FY2022), $762M (FY2023), $2,347M (FY2024), $419M (FY2025) — and now $1,066M announced. Roughly $5.0 billion deployed in five years.
A second, smaller corporate action, also absent from the payload. The 8-K filed 2026-07-24 discloses that "On July 22, 2026, the Board of Directors of TransDigm Group Incorporated appointed Irina Krasik to the Company's Board of Directors, effective immediately," noting her background at Stellex Capital Management, Bregal Investments, The Wicks Group, The Carlyle Group and Merrill Lynch, and that she "has not been appointed to any committees." The payload's insider block contains a record for Irina Igorevna Krasik dated 2026-06-22 with a BLANK transaction type, zero shares, zero price and zero holdings — a malformed Form 3, and one whose date is a month earlier than the appointment the 8-K describes.
4. Cash generation
| Fiscal year | Operating cash flow | Capital expenditure | Free cash flow | Capex/D&A |
|---|---|---|---|---|
| FY2022 | $948M | $119M | $829M | 0.47 |
| FY2023 | $1,375M | $139M | $1,236M | 0.52 |
| FY2024 | $2,045M | $165M | $1,880M | 0.53 |
| FY2025 | $2,038M | $222M | $1,816M | 0.605 |
Free cash flow of $1,816 million is a 2.55% yield at a $71,318 million market capitalisation, and freeCashFlowYieldTTM of 2.59% agrees.
The capital-expenditure line looks clean on the evidence available. The ratio to depreciation has risen steadily from 0.47 to 0.605 across four years — a smooth progression, not a step change — and capexToDepreciationTTM of 0.631 is consistent with the direct FY2025 computation of 0.605. A ratio near 0.6 is plausible for a components manufacturer whose depreciation includes acquisition-related amortisation. No corruption signature is tripped: capex is not zero, not positive-signed, not below 0.15 of depreciation, and does not swing more than 3x across three years. The one caveat: this archive contains a 10-K for fiscal 2025 filed 2025-11-12, and the capital-expenditure line was not independently located in the extracted text, so the check is a four-year internal-consistency test rather than a direct filing match, and it is labelled as such.
What free cash flow does NOT cover. Fiscal 2025 free cash flow of $1,816 million against dividends paid of $9,629 million. The distribution was 5.3x free cash flow and was funded by the $5,131 million increase in debt plus the $3,453 million reduction in cash. This is the model working as designed and it is stated so a reader does not mistake the free cash flow yield for a distributable one.
5. Valuation
At $1,275.05:
| FY2026E | FY2027E | FY2028E | FY2029E | |
|---|---|---|---|---|
| Revenue | $10,384.0M (15) | $11,356.7M (14) | $12,227.0M (14) | $12,697.3M (7) |
| Revenue growth | +17.6% | +9.4% | +7.7% | +3.8% |
| Adjusted EPS | $40.039 (12) | $47.000 (13) | $53.997 (9) | $61.517 (6) |
| EPS growth | — | +17.4% | +14.9% | +13.9% |
| P/E | 31.8x | 27.1x | 23.6x | 20.7x |
| EPS range | $39.629–$40.591 | $45.034–$50.852 | $38.917–$64.035 | — |
Coverage is good on the near years and the FY2028 dispersion is enormous. Thirteen analysts on FY2027 EPS with a range of $45.03 to $50.85 — a 12.4% spread, tight. Nine on FY2028 with a range of $38.92 to $64.04 — a 65% spread, which is a disagreement about the aerospace cycle rather than about the company. FY2029 and FY2030 rest on 6 and 7 and are excluded.
Sanity check on the near year: nine-month fiscal 2026 revenue is $7,570 million ($2,285M + $2,544M + $2,741M). The FY2026 consensus of $10,384 million requires a fourth quarter of $2,814 million against $2,437 million a year earlier — +15.5%, below the 22.5% just delivered. The near-year consensus looks conservative rather than stretched.
est.ebitdaAvg and est.ebitAvg are rejected for the fixed-ratio fabrication signature, and the level is also wrong. ebitdaAvg is exactly 60.69% of revenueAvg and ebitAvg exactly 57.70% in FY2025 through FY2030 without exception. A 60.69% EBITDA margin against a reported ebitdaMarginTTM of 48.84% overstates by nearly twelve points, and a margin constant to four decimal places across six years is a formula. All valuation uses epsAvg.
5a. What today's price assumes (the inversion)
At $1,275.05 — 31.8x FY2026 consensus and 27.1x FY2027 — the price embeds:
- Adjusted EPS reaches $40.04 in fiscal 2026 and $47.00 in fiscal 2027. (Consensus; 12 and 13 analysts.) Nine months of fiscal 2026 have delivered $28.95 of adjusted EPS, so the fourth quarter needs $11.09 against a stated consensus of $11.62 — the near year is essentially banked.
- Interest expense does not overwhelm the earnings path. (Our derivation from the quarterly series.) This is the most fragile assumption in the price. Interest rose from $397M to $514M per quarter in twelve months, +29.5%, while operating income rose 18.1%. A further 30% increase would consume roughly $600 million a year — approximately $8 of adjusted EPS pre-tax, 17% of the FY2027 consensus.
- The 46% operating margin holds. (Our derivation.) Five quarters between 44.8% and 47.6%, with the most recent at the bottom. This is the least fragile assumption on the page and it is why the business commands the multiple.
- Leverage stays near 6.26x and credit stays available. (Our number.) $30,030 million of debt must be refinanced perpetually, and a $1.066 billion cash acquisition was committed eight days ago.
- The market keeps paying 24-34x forward adjusted earnings. (Our number.) The observed twelve-month range on the FY2027 estimate is exactly that: the 52-week low of $1,132.88 is 24.1x and the high of $1,608.98 is 34.2x. The price sits at 27.1x, in the lower half.
5b. The return bridge (why the multiple moves)
Expected return over the next twenty-four months decomposes as: adjusted EPS growth (+34.9% cumulative, from FY2026E $40.04 to FY2028E $54.00) + multiple drift (roughly HELD at 27-29x on the then-forward year) + shareholder yield (ZERO on a recurring basis) ≈ +13% to +16% a year if the base lands.
Our base of $1,340 applies 28.5x FY2027E, a modest expansion from today's 27.1x, and it is the fragile leg — at an unchanged 27.1x the fair value is $1,274, the current price to within a dollar.
And note what is absent from the bridge: there is no shareholder yield. TransDigm pays no regular dividend and repurchased only $500 million of stock in fiscal 2025 — 0.70% of market capitalisation — with nothing in fiscal 2024 or fiscal 2023. The special dividends are real returns of capital but they are episodic, debt-funded, and cannot be annualised; treating $90.00 per share as a yield would inflate the expected return by seven points on a one-off event.
5c. Variant perception (where we differ, what would surprise)
- We are 9.9% below the street's $1,488 and the entire difference is the multiple. The street applies roughly 31.7x FY2027E; we apply 28.5x. Our EPS numbers are the consensus.
- We think the interest-expense trajectory is under-weighted relative to the margin story. Interest grew 29.5% year on year while operating income grew 18.1%, and the debt is $30.0 billion. Watchable number: interest expense in the fourth-quarter print against $514 million. A flat or falling figure resolves the largest threat to the earnings path; another 8% sequential increase does not.
- We think today's session is data and we report it as such. A 5.5% gap up on a double beat, followed by a 9.3% decline to a 0.82% loss, on a stock already 20.8% below its high and down 19.6% over twelve months, is the market rejecting good news. We cannot say why, because the release and guidance are on the company's website rather than in the filings, and stating that limitation is more useful than speculating.
- We have no variant perception on business quality and the knowledge base offers none either — all three claims are favourable and none addresses the balance sheet except in a single qualifying clause.
- Positive surprise that would force a re-rate: interest expense flat or falling; a fourth-quarter operating margin above 47%; the Prince & Izant acquisition closing at an implied post-synergy multiple materially below 3.0x revenue; or a refinancing that lowers the average cost of debt.
- Negative surprise that would break the thesis: operating margin below 44%; interest expense above $560 million in a quarter; a further debt-funded special dividend that raises leverage above 7x; or a break of the 52-week low at $1,132.88.
Synthos fair values
All three anchors are multiples of the FY2027 consensus adjusted EPS distribution (mean $47.00003, low $45.03417, high $50.8515, 13 analysts), cross-checked against the observed twelve-month multiple range of 24.1x–34.2x.
- Bear ~$946 — 21.0x the FY2027 consensus LOW of $45.034, below anything the market has paid this year. Cross-check: 16.5% below the 52-week low of $1,132.88; 23.6x FY2026E; a 3.44% free cash flow yield. The scenario: interest expense keeps compounding, the aerospace cycle softens, leverage passes 7x, and a 6.26x-levered business is repriced for its financing rather than its margin. −25.8%.
- Base ~$1,340 — 28.5x the FY2027 consensus MEAN of $47.00. Cross-check: 33.5x FY2026E; 24.8x FY2028E; 9.9% below the street's $1,488; 16.7% below the 52-week high. The scenario: revenue compounds at the consensus rate, the operating margin holds near 46%, interest expense stabilises, Prince & Izant closes and contributes, and the multiple gains a turn and a half. +5.1%.
- Bull ~$1,678 — 33.0x the FY2027 consensus HIGH of $50.852, roughly the multiple paid at the 52-week high. Cross-check: 4.3% above that high; 31.1x FY2028E. The scenario: the aftermarket cycle accelerates, margins expand past 48%, refinancing lowers the interest burden, and the market pays a monopoly multiple for a monopoly margin. +31.6%.
Base is 5.1% above spot; asymmetry roughly 1.22:1 (25.8% down, 31.6% up), with no recurring shareholder yield. A base case of 5% and a payoff ratio of 1.22:1 is a Watch, and it would be a Watch even without today's reversal.
6. Knowledge base — three claims, all bullish, all silent on the balance sheet
Raw hits: 3. After a case-sensitive entity re-run: 3. Discarded: 0. Homograph collisions: 0.

What this lane is, without inflation.
The most useful claim is the one that qualifies itself. The invest_like_the_best claim is a buy recommendation that contains its own position limit — "small <1% position" — and names the exact risk this dive independently identifies: "rate-sensitive debt." A bull thesis that specifies both a maximum size and its own failure mode is worth more than a higher-conviction one that does not, and it is weighted accordingly.
The second claim states the business case and supplies the one figure the filings do not. The 80% sole-source share is not disclosed anywhere in this archive, so it cannot be verified — but the outcome it predicts is filing-visible: a 59.01% gross margin and a 46.05% operating margin on manufactured hardware. We cite the outcome and label the 80% as an unverified claim. Note the skill weight of 0.7, below baseline.
The third is a category observation naming four serial acquirers and is not a view on this stock. It is cited in the exponential score and nowhere else.
What the lane does NOT contain, and this is the finding. There is no bearish claim on TransDigm anywhere in 52,021 distilled claims. No claim addresses the $30,030 million of debt, the 6.26x leverage, the negative $9,686 million of equity, or the $9,629 million debt-funded special dividend — except for four words in one claim. A knowledge base that is uniformly positive on a company financed at 6.26x is not providing a check; it is providing an echo. This dive's negative findings on this name are all filings-derived and none is corroborated by an independent voice, which is stated here so the reader knows where the scepticism comes from.
With three claims from three channels no concentration test is meaningful. All three carry skill weights at or below 1.0; one names a speaker ("Colin"); none is management voice.
Conclusion. Breadth 3, claim count 3, net conviction positive but thin, and silent on the half of this company that determines the outcome.
7. Data integrity
Six findings: two clean checks and four defects.
CLEAN 1 — seg_prod sums to revenue TO THE DOLLAR. $4,559M + $4,112M + $160M = $8,831,000,000 against inc_a FY2025 revenue of $8,831,000,000. Every year from FY2013 forward ties. The over-counting defect is checked and absent.
CLEAN 2 — seg_geo sums to revenue TO THE DOLLAR with the home market present. $5,535M + $3,296M = $8,831,000,000, with UNITED STATES at $5,535M (62.7%). The home-market omission defect is checked and absent. On a batch where one geography block summed to 166.1% of revenue and another dropped a segment worth 22.6%, this is worth recording.
DEFECT 1 — negative shareholders' equity voids six ratios, REJECTED with the mechanism. Equity of MINUS $9,686M and retained earnings of MINUS $10,606M, produced by $9,629M of dividends paid in fiscal 2025 plus $2,038M in fiscal 2024 — debt-funded special distributions. Rejected: returnOnEquityTTM −20.44%, priceToBookRatioTTM −6.07, debtToEquityRatioTTM −2.743, bookValuePerShareTTM −$209.83, tangibleBookValuePerShareTTM −$466.86, and grahamNumberTTM, which the payload itself returns as null. Return on invested capital (16.0%), return on capital employed (21.2%) and return on assets (8.6%) are used instead. This is a deliberate capital structure, not distress, and the distinction is drawn explicitly in Section 2.
DEFECT 2 — dividendYieldTTM of 7.06% describes a one-off special distribution and is NOT a running yield. dividendPerShareTTM reads $90.00, which is $9,629M over roughly 57 million shares. Dividends paid were $38M in fiscal 2023, $2,038M in fiscal 2024 and $9,629M in fiscal 2025 — TransDigm pays no regular dividend. Any screen ranking this stock on yield is ranking an episodic, debt-funded return of capital. This dive assigns a recurring shareholder yield of ZERO and treats the special-dividend policy as optionality.
DEFECT 3 — inc_q reports ZERO depreciation and amortisation for the June 2026 quarter. The four preceding quarters read $92M, $96M, $100M and $60M. Depreciation does not stop. The field is rejected for that quarter, and note that the March 2026 figure of $60M is itself 35% below the prior run rate, so the quarterly D&A series is unreliable for the last two quarters and no EBITDA figure is computed from it.
DEFECT 4 — est.ebitdaAvg and est.ebitAvg carry the fixed-ratio fabrication signature AND the level is wrong. ebitdaAvg is exactly 60.69% of revenueAvg and ebitAvg exactly 57.70% in FY2025 through FY2030. The implied EBITDA margin of 60.69% is nearly twelve points above the reported ebitdaMarginTTM of 48.84%. Rejected; all valuation uses epsAvg.
Also noted: one insider record is entirely blank — Irina Igorevna Krasik, dated 2026-06-22, with no owner type, no transaction type, zero shares, zero price and zero holdings — and its date precedes by a month the 2026-07-22 board appointment the 8-K describes. The implied share count from market capitalisation divided by price is 55,933,516 against inc_q's 57,900,000 weighted diluted — a 3.4% gap consistent with dilutive securities. km_ttm and ratios_ttm are present and complete. quote.yearHigh/yearLow ($1,466.13/$1,123.61) against tech.hi52/lo52 ($1,608.98/$1,132.88) — a 9.7% discrepancy on the high, the largest quote-versus-technical divergence in this batch after one other name; tech is used throughout and both are stated.
Vendor composite rating — noted and partly void. B− / 2 overall, with 5 out of 5 on return on assets and 4 on discounted cash flow, and 1 out of 5 on return on equity, debt-to-equity and price-to-book. All three of the 1-scores are computed on the negative equity denominator rejected in DEFECT 1 and are meaningless. The return-on-assets and discounted-cash-flow scores are the usable ones.
Non-equity tripwire — checked and passed. TDG is common stock, NYSE-listed since 2006-03-15. Price of $1,275.05 is not par-like; beta is 0.906; there is no regular dividend; volume was 829,381 shares (roughly $1.06B of turnover); the 52-week band of $1,132.88 to $1,608.98 is a 42% range. This is common equity.
8. Technicals
- Price $1,275.05, down 0.82% on an earnings day with a double beat. Opened $1,355.60 — 5.5% ABOVE the prior close — reached $1,359.273, fell to $1,233.11, and closed at $1,275.05. The high-to-low range is 9.3% and the close is 6.2% below the open. Volume 829,381.
- −20.8% from the 52-week high of $1,608.98; +12.5% above the 52-week low of $1,132.88. Position within the annual range: 30th percentile.
- Straddling both moving averages, almost exactly: +0.7% above a 50-day average of $1,266.67 and −0.5% below a 200-day average of $1,280.87. The two averages are within 1.1% of each other.
- RSI 58.4 and MACD −0.084 — effectively zero, the flattest momentum reading in this batch.
- Maximum drawdown from peak over the trailing year: −21.3%.
- Relative performance, and it is the worst in this batch: 3-month +10.9% against SPY +7.6%; 6-month −11.2% against SPY +11.1%; 12-month −19.6% against SPY +24.3% and QQQ +30.8% — a 43.8-point deficit to the index over one year.
- Sentiment: 21 buy, 18 hold, 0 sell across 39 analysts — the most evenly split coverage in this batch, at 54% buy; consensus target $1,488 (+16.7%), median $1,525, high $1,645, low $1,345 — 5.5% ABOVE spot. Not one of 39 analysts has a target below the price after a 19.6% twelve-month decline, which we treat as a consensus that has not marked to market.
Today's move and what it does to the entry
TDG opened at $1,355.60, traded to $1,359.273, fell to $1,233.11, and closed at $1,275.05 — down 0.82% on a day it beat consensus adjusted EPS by 5.5% and revenue by 2.4%.
The honest read: the entry is neither cheap nor dislocated, and the session is a warning rather than an opportunity. A market that gaps a stock up 5.5% on good numbers and then sells it 9.3% has looked at something in the release or the guidance and disliked it. That something is not in this archive — the press release is furnished as an exhibit not present in the extract and the guidance is on the company's website — and this dive will not guess at it. The base case is +5.1%; there is no case for buying before the fourth-quarter print on 2026-11-11 clarifies what happened.

The reading, with its qualifications. W. Nicholas Howley exercised 10,132 options at a strike of $66.47 and sold 5,528 shares across five tranches at $1,210 to $1,215, retaining 26,151.513. This is an exercise-and-partial-sell: he monetised roughly 55% of the exercised block and kept the rest. The five tranches at rising prices within a narrow band are one order executing, not five decisions.
Three qualifications and one observation.
The strike of $66.47 means these options are more than a decade old and deeply in the money — the arithmetic case for exercising is overwhelming and carries no view on the stock. He retained 26,151.513 shares, approximately $33.3 million at today's price, so the position was reduced but not exited. And a single day's activity by one individual is not a pattern.
The observation: the sales were executed on 2026-07-20 at approximately $1,213, and the stock closed today at $1,275.05 — so the founder sold 4.9% below the current price, two weeks before a double-beat quarter. On the evidence available, that is neither prescient nor damning, and it is reported without inference.
Joel Reiss, Co-Chief Operating Officer, recorded a 3,900-share M-Exempt disposition at $284.97 on 2026-07-15, retaining 11,900. No open-market sale.
What the file does not contain: any transaction by Michael J. Lisman, the chief executive, or by Sarah Wynne, the chief financial officer, in either direction.
10. Verdict, kill-criteria and flip conditions
Watch.
The business deserves better than this verdict and the balance sheet does not. At $1,275.05 TransDigm trades at 31.8x the FY2026 consensus of $40.04 and 27.1x FY2027's $47.00, on a company that just grew revenue 22.5% with a 44.8% operating margin, holds a sole-source position one independent voice puts at roughly 80% of revenue, and has compounded revenue 12.8% a year for five years through an aviation downturn.
Our base of $1,340 is 5.1% above spot with 1.22:1 asymmetry, and there is no recurring shareholder yield to add to it.
Four reasons for the Watch.
First, the base case is a multiple assumption and a small one. At an unchanged 27.1x the fair value is $1,274 — the current price to within a dollar. All 5.1% comes from assuming the market pays one and a half more turns.
Second, interest expense is compounding faster than earnings. $397M → $420M → $475M → $484M → $514M across five quarters, up 29.5% year on year, against operating income up 18.1%. On $30,030 million of debt at 6.26x EBITDA with 2.43x coverage, that trajectory is the thesis risk, and the company just committed a further $1.066 billion of cash to an acquisition.
Third, the market rejected a double beat today. Opened 5.5% up, closed 0.82% down, a 9.3% intraday range. We cannot say why — the release and guidance are not in this archive — and a research process that issues a Buy while unable to explain a 9% reversal on the day's news is not being honest about what it knows.
Fourth, the knowledge base is uniformly positive and silent on the leverage. Three claims, all bullish, one of which caps its own position at "<1%" and names "rate-sensitive debt" as the risk. Every negative finding in this dive is filings-derived and none is independently corroborated. That is not an absence of risk; it is an absence of coverage.
Pre-registered KILL criteria — what would take this to Avoid:
- Interest expense above $560 million in any quarter, against $514 million in June.
- Operating margin below 44%, beneath a five-quarter band that has held between 44.8% and 47.6%.
- Net leverage above 7.0x EBITDA, whether from a further special dividend or from acquisition funding.
- A break below the 52-week low of $1,132.88 on company-specific news.
- Any indication that aftermarket bookings are decelerating, which is the leading indicator for this business.
Pre-registered UPGRADE conditions — what would take this to Buy — Tactical:
- A price below roughly $1,120, at which the base case is +20% and the asymmetry moves through 2:1 with no change to any number here. That is 12.2% below spot and just under the 52-week low.
- Interest expense flat or falling for two consecutive quarters, which would remove the largest threat to the earnings path.
- A refinancing that lowers the average cost of debt, or a deleveraging plan that takes net leverage below 5.5x.
- A fourth-quarter operating margin above 47% with revenue growth above 15%, which would show the June-quarter margin dip was seasonal.
- An explanation, in the November filing, of what the market saw today.
Where TDG sits in the Synthos Framework Portfolio. No position. On the watch list at $1,120, for a first tranche of 1.0% in the industrials sleeve — and, following the knowledge base's own advice on this name, capped at 1% rather than the usual sleeve weight, because a 6.26x-levered business with 2.43x interest coverage should not be a large position at any price. Logged as a tracked Synthos call (Watch) as of 2026-08-04 at $1,275.05, with the fair-value anchors, kill criteria and upgrade conditions all gradeable.
Single biggest risk: interest expense, which is compounding faster than the earnings it is financed against. $1,220 million in fiscal 2023, $1,344 million in fiscal 2024, $1,572 million in fiscal 2025, and $514 million in the June quarter alone — an annualised run rate above $2.0 billion, up 29.5% year on year against operating income up 18.1%. The debt is $30,030 million, net leverage is 6.26x EBITDA, coverage is 2.43x, shareholders' equity is negative $9,686 million, and a further $1.066 billion cash acquisition was committed eight days ago. None of that threatens the business, whose 46% operating margin would survive a great deal — but the equity sits behind $30 billion of claims whose cost the company does not control, and the twelve-month return of MINUS 19.6% against an index up 24.3% is the market working through exactly that arithmetic.
Provenance & disclosures
- Traceability: 3 name-level knowledge-base claims name TransDigm out of 52,021 distilled claims. Raw hits 3; surviving a case-sensitive entity re-run 3; discarded 0; homograph collisions 0; breadth 3; net conviction positive but thin. The three:
invest_like_the_best2026-05-29 (bullish, conviction 55, speaker Colin — a buy recommendation that caps its own position at "small <1%" and names "rate-sensitive debt" as the risk);brent_johnson2026-05-10 (bullish, 55, skill 0.7, below baseline — the ~80% sole-source claim, which is NOT disclosed anywhere in this archive and is labelled unverified);cognitive_revolution2025-08-02 (bullish, 70, principle — a category observation naming four serial acquirers, cited only in the exponential score). THE FINDING IS WHAT THE LANE DOES NOT CONTAIN: there is no bearish claim on TransDigm anywhere in the store, and no claim addresses the $30,030 million of debt, the 6.26x leverage, the negative $9,686 million of equity or the $9,629 million debt-funded special dividend, except for four words in one claim. Every negative finding in this dive is filings-derived and none is independently corroborated, which is stated so the reader knows the provenance of the scepticism. With three claims from three channels no concentration test is meaningful. All three carry skill weights at or below 1.0; none is management voice. All quotes are verbatim from the stored claim text. - Data as-of: fundamentals — quarterly income statement through 2026-06-27 from

The absence of the earnings release is why this dive cannot explain today's 9.3% intraday reversal and why all three horizon confidences are Low.
- Where the filings contradicted or corrected the vendor (detailed in Section 7): the entire equity-ratio block, voided by shareholders' equity of MINUS $9,686M and rejected with the mechanism — $9,629M of debt-funded special dividends in fiscal 2025 alone against $38M in fiscal 2023 — rather than reported;
dividendYieldTTMof 7.06% ondividendPerShareTTMof $90.00, which describes that one-off distribution and is NOT a running yield, so this dive assigns a recurring shareholder yield of ZERO;inc_qJune-quarter depreciation and amortisation of ZERO, against $92M, $96M and $100M in the three quarters before the March quarter's already-anomalous $60M;est.ebitdaAvg/ebitAvg, carrying a fixed-ratio signature of exactly 60.69% and 57.70% of revenue in all six forward years, with the implied EBITDA margin nearly twelve points above the reported 48.84%; the blank insider record for Irina Igorevna Krasik dated 2026-06-22, a month before the 2026-07-22 appointment the 8-K describes; andquote.yearHighof $1,466.13 againsttech.hi52of $1,608.98, a 9.7% divergence. Two entire corporate actions are absent from the payload: the $1.066 billion Prince & Izant acquisition announced 2026-07-27 and the board appointment of 2026-07-22. Where vendor and filing AGREED — recorded, because these were directed tests:seg_prodPASSED, summing to $8,831,000,000 against FY2025 revenue to the dollar;seg_geoPASSED, summing to the same figure exactly with UNITED STATES present at $5,535M (62.7%), clearing both the over-counting and home-market-omission tests; the capital-expenditure line trips NO corruption signature — not zero, not positive-signed, not below 0.15 of depreciation, and not swinging 3x across three years, with the ratio rising smoothly from 0.47 to 0.605 over four years andcapexToDepreciationTTMof 0.631 consistent with a direct 0.605 — though this is a four-year internal-consistency test rather than a direct filing match, because the capital-expenditure line was not independently located in the extracted 10-K text, and it is labelled as such; andkm_ttmandratios_ttmare present and complete. - Basis note: all forward multiples are struck on ADJUSTED earnings per share, the basis of every estimate in the file. Trailing adjusted EPS of approximately $39.77 is the sum of the four quarterly actuals in
earn_cal; trailing GAAP EPS of approximately $32.96 is the sum of the four quarters ininc_q— a 1.21x ratio driven by acquisition amortisation and refinancing costs, materially smaller than the 1.99x found on another name in this batch. Free cash flow is recomputed as filed operating cash flow minus capital expenditure, and it is NOT the distributable figure: fiscal 2025 free cash flow of $1,816 million supported dividends of $9,629 million, a 5.3x shortfall funded by a $5,131 million increase in debt and a $3,453 million reduction in cash. - Estimate coverage: 13 analysts on FY2027 adjusted EPS — the anchor for all three fair values, with a range of $45.034 to $50.852, a 12.4% spread — and 12 on FY2026 with a range of only 2.4%, the tightest in this batch. 9 on FY2028, whose range of $38.917 to $64.035 is a 65% spread — a disagreement about the aerospace cycle rather than about the company — and it is used only as a cross-check. 6 and 7 on FY2029 and FY2030, both excluded.
- Peer note: the vendor peer set — Cintas, Emerson, General Dynamics, Illinois Tool Works, Johnson Controls, L3Harris, Northrop Grumman, Quanta Services, Thomson Reuters and Vertiv — contains two defence primes and eight diversified industrials, and NOT ONE aerospace aftermarket or component specialist. Cintas, a uniform-rental company, and Thomson Reuters, an information provider, are in this batch's own coverage and are not comparable to TransDigm on any dimension. No earnings or estimate data for any peer is present in this file, so no peer-multiple comparison is drawn.
- Fair-value caveat: the $946 / $1,340 / $1,678 anchors are multiples of the FY2027 consensus adjusted EPS distribution — 21.0x the low of $45.03417, 28.5x the mean of $47.00003, and 33.0x the high of $50.8515 — cross-checked against the observed twelve-month multiple range of 24.1x to 34.2x derived from the 52-week low of $1,132.88 and high of $1,608.98. Stated arithmetic, not a discounted cash flow. The base assumes MODEST MULTIPLE EXPANSION from 27.1x to 28.5x and this is the fragile leg: at an unchanged 27.1x the fair value is $1,274, the current price to within a dollar. No recurring shareholder yield is added to any anchor, because TransDigm pays no regular dividend and repurchased only $500 million of stock in fiscal 2025.
- Timing: third-quarter fiscal 2026 results were released THIS MORNING, 2026-08-04, beating on both lines — adjusted EPS of $10.87 against $10.30 (+5.5%, the fourth consecutive beat) and revenue of $2,741M against $2,677,539K (+2.4%, and +22.5% year on year) — and the stock OPENED at $1,355.60, reached $1,359.273, fell to $1,233.11 and CLOSED at $1,275.05, DOWN 0.82%: a 9.3% intraday round trip that this archive cannot explain because the earnings release and guidance are not in it. The next print is 2026-11-11, 99 days away, against a consensus of $11.62 and $2,877,105K. The most recent insider transactions are dated 2026-07-20, when the founder exercised options at $66.47 and sold 5,528 shares at approximately $1,213. 2026-08-04 carried the earnings 8-K and the 10-Q.
