The Overview

When an aircraft component wears out, the airline cannot fit any part it likes — it must fit the certified one. For a great many small, unglamorous parts, TransDigm is the only company certified to make it. The part might cost a few thousand dollars; the aircraft it is grounding earns tens of thousands a day. So the airline pays.

That is the whole business, and you can see it in one number: TransDigm keeps 46 cents of operating profit on every revenue dollar. Manufacturers do not do that. Monopolists do.

The company reported results this morning and they were good — sales up 22.5%, profit per share of $10.87 against the $10.30 expected. The shares opened 5.5% higher, and then fell all day, ending down 0.82%. From the highest price of the day to the lowest was 9.3%. We do not know why: the detailed release and the guidance were published on the company's website, not filed with the regulator, so they are not in the documents we hold. We are telling you that rather than guessing.

Now the part that determines whether this is a good investment rather than a good business.

TransDigm owes $30 billion. Its interest bill was $514 million in the last three months alone — up 29.5% from a year earlier. Its shareholders' equity is negative $9.7 billion, meaning the company's liabilities exceed its assets on paper.

That is not an accident or a warning sign of failure — it is the deliberate design. TransDigm borrows money and pays it out to shareholders as occasional enormous one-off dividends. Last fiscal year it paid $9.6 billion, equal to about 13.5% of the entire company's value today. The year before that: $2.0 billion. Two years before: $38 million.

So when you see a data feed quoting TransDigm's dividend yield as 7.06%, that is describing a one-off event, not an income stream. We do not treat it as one.

Two other things happened recently that standard data feeds have not picked up. On 27 July the company agreed to buy a business called Prince & Izant for about $1.066 billion in cash — roughly three times its expected annual sales. And on 22 July it appointed a new director.

The shares cost $1,275.05, about 27 times what analysts expect the company to earn in the year to September 2027. Our fair value estimate is $1,340, only 5% above. Analysts say $1,488.

The shares have fallen 19.6% over the last year while the stock market rose 24%. Something in the market has decided that a superb business borrowed to the hilt is worth less than it was, and today's reversal did not argue otherwise.


Putting a number on it: our fair-value estimate is $1,340 against a current price of $1,185.97 — real upside if our numbers are right.

Shareholders' equity is MINUS $9,686 million and retained earnings MINUS $10,606 million, the consequence of $9,629 million of dividends paid in fiscal 2025 alone plus $2,038 million in fiscal 2024 — debt-funded special distributions that are the company's stated method of returning capital. `tangibleBookValuePerShareTTM` is MINUS $466.86. And the company announced a further $1.066 billion cash acquisition on 2026-07-27. Add the demand side: this is an aerospace aftermarket business whose revenue depends on flight hours, and the two prior aviation downturns took revenue down rather than sideways. A 46% operating margin financed at 6.26x is a superb machine with no shock absorber."

Revenue: $5,103M (FY2020), $4,798M, $5,429M, $6,585M, $7,940M, $8,831M (FY2025) — 12.8% compound over five years and 11.2% in the most recent one, through a period that included an aviation demand collapse. Diluted GAAP EPS over the same span: $8.27, $10.39, $13.40, $22.03, $25.62, $32.08 — a 31.1% compound rate, amplified by leverage and a shrinking share count. The current year is faster still: June-quarter revenue of $2,741 million was up 22.5% on $2,237 million, with the nine months at $7,570 million; operating income of $1,227 million was up 18.1%; and adjusted EPS of $10.87 beat consensus by 5.5%. Both blocks pass the over-counting test and seg_geo passes the home-market omission test. On a batch in which one geography block summed to 166.1% of revenue and another omitted a segment worth 22.6%, TransDigm's are clean and that is reported as a finding.

One taxonomy note for completeness: the FY2012 seg_prod entry uses sixteen product-level lines (specialised valves, ignition systems, lavatory hardware and so on) rather than the three current segments. The taxonomy changed once, more than a decade ago, and every year from FY2013 forward is on the current basis.

Three observations.

First, the operating margin is astonishingly stable and slightly softer. A 44.8% to 47.6% band across five quarters, with the most recent quarter at the bottom of it. A 180-basis-point sequential decline on 7.7% sequential revenue growth is worth watching, though it is one quarter.

Second, interest expense has grown every single quarter: $397M → $420M → $475M → $484M → $514M. That is +29.5% year on year, and it is compounding faster than operating income, which grew 18.1% over the same span.

Third, the gap between GAAP and adjusted EPS is meaningful but not extreme. Trailing GAAP is approximately $32.96 against trailing adjusted of approximately $39.77 — a 1.21x ratio, driven by acquisition-related amortisation and refinancing costs. All forward multiples use the adjusted basis because every estimate in the file does.

2. The capital structure, which is the strategy

This is the section that determines the verdict, and the numbers are unambiguous.

Read the last two rows together and the mechanism is complete. TransDigm borrows and distributes. Fiscal 2023 paid $38 million of dividends. Fiscal 2024 paid $2,038 million. Fiscal 2025 paid $9,629 million — 13.5% of today's entire market capitalisation, in one year, funded by a $5,131 million increase in total debt. Retained earnings fell from minus $2,621 million to minus $10,606 million across the same period, which is exactly the cumulative distribution.

Negative equity therefore voids six ratios, and they are REJECTED with the mechanism rather than reported: returnOnEquityTTM of −20.44%, priceToBookRatioTTM of −6.07, debtToEquityRatioTTM of −2.74, bookValuePerShareTTM of −$209.83, tangibleBookValuePerShareTTM of −$466.86, and grahamNumberTTM, which the payload itself returns as null because the formula requires positive book value. Printing "return on equity of minus 20%" for a business earning a 21.2% return on capital employed would be arithmetically true and analytically worthless. The measures used instead are return on invested capital (16.0%), return on capital employed (21.2%) and return on assets (8.6%), all computed on positive denominators.

And the dividend field must be handled carefully. dividendPerShareTTM reads $90.00 and dividendYieldTTM reads 7.06%. That is $9,629 million divided by roughly 57 million shares — a one-off special distribution, not a quarterly dividend. TransDigm pays no regular dividend. Any screen ranking this stock as a 7% yielder is ranking a debt-funded return of capital that occurred once. This dive assigns a shareholder yield of ZERO for the purposes of the return bridge and states the special-dividend policy as an optionality rather than a stream.

Leverage, stated plainly. Net debt of $27,222 million against trailing EBITDA of approximately $4,351 million (48.84% margin on trailing revenue of $8,907M) is 6.26x — the payload's netDebtToEBITDATTM agrees. Interest coverage is 2.43x. Enterprise value is $101,891 million against a market capitalisation of $71,318 million, so 30.0% of the enterprise is debt. evToEBITDATTM of 20.85x is the correct multiple for this business and is materially above the 27.1x price-to-earnings would suggest in isolation.

3. The acquisition the payload has never heard of

From the 8-K filed 2026-07-27:

> "On July 27, 2026, TransDigm Group Incorporated announced its definitive agreement to acquire Prince & Izant ('P&I'), a portfolio company of Industrial Growth Partners, for approximately $1.066 billion in cash, including certain tax benefits... Prince & Izant, headquartered in Cleveland, Ohio, is a leading global designer and manufacturer of highly engineered brazing alloys and specialty metal components used across a range of advanced performance and high cost-of-failure applications... The Company's products are highly proprietary in nature... The Company derives the majority of its revenue from the aftermarket and supports a large installed base globally. P&I is expected to generate approximately $360 million in revenue for the calendar year ending December 31, 2026... The Company employs approximately 220 people. The acquisition is subject to regulatory approvals in the United States and customary closing conditions."

Approximately $1.066 billion for approximately $360 million of revenue is roughly 3.0x revenue, or roughly $4.8 million per employee. The strategic fit is exact — proprietary, aftermarket-weighted, high cost-of-failure — and it is the same acquisition template the knowledge base describes as operating "like public private-equity."

Two things follow for this dive. The transaction appears nowhere in the vendor payload; bal_a and cf_a end at 2025-09-30 and no estimate row reflects it. And it is a CASH acquisition of $1.066 billion by a company with $2,808 million of cash and $30,030 million of debt — which means it is funded from cash, from revolver, or from new issuance, and in any of those cases it raises leverage or reduces liquidity at a moment when interest expense is already compounding at 29.5%.

The acquisition cadence, for context: acquisitionsNet of $434M (FY2022), $762M (FY2023), $2,347M (FY2024), $419M (FY2025) — and now $1,066M announced. Roughly $5.0 billion deployed in five years.

A second, smaller corporate action, also absent from the payload. The 8-K filed 2026-07-24 discloses that "On July 22, 2026, the Board of Directors of TransDigm Group Incorporated appointed Irina Krasik to the Company's Board of Directors, effective immediately," noting her background at Stellex Capital Management, Bregal Investments, The Wicks Group, The Carlyle Group and Merrill Lynch, and that she "has not been appointed to any committees." The payload's insider block contains a record for Irina Igorevna Krasik dated 2026-06-22 with a BLANK transaction type, zero shares, zero price and zero holdings — a malformed Form 3, and one whose date is a month earlier than the appointment the 8-K describes.

Free cash flow of $1,816 million is a 2.55% yield at a $71,318 million market capitalisation, and freeCashFlowYieldTTM of 2.59% agrees.

The capital-expenditure line looks clean on the evidence available. The ratio to depreciation has risen steadily from 0.47 to 0.605 across four years — a smooth progression, not a step change — and capexToDepreciationTTM of 0.631 is consistent with the direct FY2025 computation of 0.605. A ratio near 0.6 is plausible for a components manufacturer whose depreciation includes acquisition-related amortisation. No corruption signature is tripped: capex is not zero, not positive-signed, not below 0.15 of depreciation, and does not swing more than 3x across three years. The one caveat: this archive contains a 10-K for fiscal 2025 filed 2025-11-12, and the capital-expenditure line was not independently located in the extracted text, so the check is a four-year internal-consistency test rather than a direct filing match, and it is labelled as such.

What free cash flow does NOT cover. Fiscal 2025 free cash flow of $1,816 million against dividends paid of $9,629 million. The distribution was 5.3x free cash flow and was funded by the $5,131 million increase in debt plus the $3,453 million reduction in cash. This is the model working as designed and it is stated so a reader does not mistake the free cash flow yield for a distributable one.

5. Valuation

At $1,275.05:

Coverage is good on the near years and the FY2028 dispersion is enormous. Thirteen analysts on FY2027 EPS with a range of $45.03 to $50.85 — a 12.4% spread, tight. Nine on FY2028 with a range of $38.92 to $64.04 — a 65% spread, which is a disagreement about the aerospace cycle rather than about the company. FY2029 and FY2030 rest on 6 and 7 and are excluded.

Sanity check on the near year: nine-month fiscal 2026 revenue is $7,570 million ($2,285M + $2,544M + $2,741M). The FY2026 consensus of $10,384 million requires a fourth quarter of $2,814 million against $2,437 million a year earlier — +15.5%, below the 22.5% just delivered. The near-year consensus looks conservative rather than stretched.

est.ebitdaAvg and est.ebitAvg are rejected for the fixed-ratio fabrication signature, and the level is also wrong. ebitdaAvg is exactly 60.69% of revenueAvg and ebitAvg exactly 57.70% in FY2025 through FY2030 without exception. A 60.69% EBITDA margin against a reported ebitdaMarginTTM of 48.84% overstates by nearly twelve points, and a margin constant to four decimal places across six years is a formula. All valuation uses epsAvg.

5a. What today's price assumes (the inversion)

At $1,275.05 — 31.8x FY2026 consensus and 27.1x FY2027 — the price embeds:

5b. The return bridge (why the multiple moves)

Expected return over the next twenty-four months decomposes as: adjusted EPS growth (+34.9% cumulative, from FY2026E $40.04 to FY2028E $54.00) + multiple drift (roughly HELD at 27-29x on the then-forward year) + shareholder yield (ZERO on a recurring basis)+13% to +16% a year if the base lands.

Our base of $1,340 applies 28.5x FY2027E, a modest expansion from today's 27.1x, and it is the fragile leg — at an unchanged 27.1x the fair value is $1,274, the current price to within a dollar.

And note what is absent from the bridge: there is no shareholder yield. TransDigm pays no regular dividend and repurchased only $500 million of stock in fiscal 2025 — 0.70% of market capitalisation — with nothing in fiscal 2024 or fiscal 2023. The special dividends are real returns of capital but they are episodic, debt-funded, and cannot be annualised; treating $90.00 per share as a yield would inflate the expected return by seven points on a one-off event.

5c. Variant perception (where we differ, what would surprise)

Base is 5.1% above spot; asymmetry roughly 1.22:1 (25.8% down, 31.6% up), with no recurring shareholder yield. A base case of 5% and a payoff ratio of 1.22:1 is a Watch, and it would be a Watch even without today's reversal.

6. Knowledge base — three claims, all bullish, all silent on the balance sheet

What this lane is, without inflation.

The most useful claim is the one that qualifies itself. The invest_like_the_best claim is a buy recommendation that contains its own position limit — "small <1% position" — and names the exact risk this dive independently identifies: "rate-sensitive debt." A bull thesis that specifies both a maximum size and its own failure mode is worth more than a higher-conviction one that does not, and it is weighted accordingly.

The second claim states the business case and supplies the one figure the filings do not. The 80% sole-source share is not disclosed anywhere in this archive, so it cannot be verified — but the outcome it predicts is filing-visible: a 59.01% gross margin and a 46.05% operating margin on manufactured hardware. We cite the outcome and label the 80% as an unverified claim. Note the skill weight of 0.7, below baseline.

The third is a category observation naming four serial acquirers and is not a view on this stock. It is cited in the exponential score and nowhere else.

What the lane does NOT contain, and this is the finding. There is no bearish claim on TransDigm anywhere in 52,021 distilled claims. No claim addresses the $30,030 million of debt, the 6.26x leverage, the negative $9,686 million of equity, or the $9,629 million debt-funded special dividend — except for four words in one claim. A knowledge base that is uniformly positive on a company financed at 6.26x is not providing a check; it is providing an echo. 7. Data integrity

Six findings: two clean checks and four defects.

CLEAN 1 — seg_prod sums to revenue TO THE DOLLAR. $4,559M + $4,112M + $160M = $8,831,000,000 against inc_a FY2025 revenue of $8,831,000,000. Every year from FY2013 forward ties. The over-counting defect is checked and absent.

CLEAN 2 — seg_geo sums to revenue TO THE DOLLAR with the home market present. $5,535M + $3,296M = $8,831,000,000, with UNITED STATES at $5,535M (62.7%). The home-market omission defect is checked and absent. On a batch where one geography block summed to 166.1% of revenue and another dropped a segment worth 22.6%, this is worth recording.

DEFECT 1 — negative shareholders' equity voids six ratios, REJECTED with the mechanism. Equity of MINUS $9,686M and retained earnings of MINUS $10,606M, produced by $9,629M of dividends paid in fiscal 2025 plus $2,038M in fiscal 2024 — debt-funded special distributions. Rejected: returnOnEquityTTM −20.44%, priceToBookRatioTTM −6.07, debtToEquityRatioTTM −2.743, bookValuePerShareTTM −$209.83, tangibleBookValuePerShareTTM −$466.86, and grahamNumberTTM, which the payload itself returns as null. Dividends paid were $38M in fiscal 2023, $2,038M in fiscal 2024 and $9,629M in fiscal 2025 — TransDigm pays no regular dividend. Any screen ranking this stock on yield is ranking an episodic, debt-funded return of capital. This dive assigns a recurring shareholder yield of ZERO and treats the special-dividend policy as optionality.

DEFECT 3 — inc_q reports ZERO depreciation and amortisation for the June 2026 quarter. The four preceding quarters read $92M, $96M, $100M and $60M. Depreciation does not stop. The field is rejected for that quarter, and note that the March 2026 figure of $60M is itself 35% below the prior run rate, so the quarterly D&A series is unreliable for the last two quarters and no EBITDA figure is computed from it.

The implied share count from market capitalisation divided by price is 55,933,516 against inc_q's 57,900,000 weighted diluted — a 3.4% gap consistent with dilutive securities. km_ttm and ratios_ttm are present and complete. quote.yearHigh/yearLow ($1,466.13/$1,123.61) against tech.hi52/lo52 ($1,608.98/$1,132.88) — a 9.7% discrepancy on the high, the largest quote-versus-technical divergence in this batch after one other name; tech is used throughout and both are stated.

Vendor composite rating — noted and partly void. B− / 2 overall, with 5 out of 5 on return on assets and 4 on discounted cash flow, and 1 out of 5 on return on equity, debt-to-equity and price-to-book. All three of the 1-scores are computed on the negative equity denominator rejected in DEFECT 1 and are meaningless. The return-on-assets and discounted-cash-flow scores are the usable ones.

Non-equity tripwire — checked and passed. TDG is common stock, NYSE-listed since 2006-03-15. Price of $1,275.05 is not par-like; beta is 0.906; there is no regular dividend; volume was 829,381 shares (roughly $1.06B of turnover); the 52-week band of $1,132.88 to $1,608.98 is a 42% range. This is common equity.

8. Technicals

Today's move and what it does to the entry

TDG opened at $1,355.60, traded to $1,359.273, fell to $1,233.11, and closed at $1,275.05 — down 0.82% on a day it beat consensus adjusted EPS by 5.5% and revenue by 2.4%.

The honest read: the entry is neither cheap nor dislocated, and the session is a warning rather than an opportunity. A market that gaps a stock up 5.5% on good numbers and then sells it 9.3% has looked at something in the release or the guidance and disliked it. That something is not in this archive — the press release is furnished as an exhibit not present in the extract and the guidance is on the company's website — and this dive will not guess at it. The base case is +5.1%; there is no case for buying before the fourth-quarter print on 2026-11-11 clarifies what happened.

Total open-market sales: 5,528 shares at an average of approximately $1,213 — roughly $6.7 million — all by the founder, on a single day.

The reading, with its qualifications. W. Nicholas Howley exercised 10,132 options at a strike of $66.47 and sold 5,528 shares across five tranches at $1,210 to $1,215, retaining 26,151.513. This is an exercise-and-partial-sell: he monetised roughly 55% of the exercised block and kept the rest. The five tranches at rising prices within a narrow band are one order executing, not five decisions.

Three qualifications and one observation.

The strike of $66.47 means these options are more than a decade old and deeply in the money — the arithmetic case for exercising is overwhelming and carries no view on the stock. He retained 26,151.513 shares, approximately $33.3 million at today's price, so the position was reduced but not exited. And a single day's activity by one individual is not a pattern.

The observation: the sales were executed on 2026-07-20 at approximately $1,213, and the stock closed today at $1,275.05 — so the founder sold 4.9% below the current price, two weeks before a double-beat quarter. On the evidence available, that is neither prescient nor damning, and it is reported without inference.

Joel Reiss, Co-Chief Operating Officer, recorded a 3,900-share M-Exempt disposition at $284.97 on 2026-07-15, retaining 11,900. No open-market sale.

What the file does not contain: any transaction by Michael J. Lisman, the chief executive, or by Sarah Wynne, the chief financial officer, in either direction.

10. Verdict, kill-criteria and flip conditions

Watch.

The business deserves better than this verdict and the balance sheet does not. At $1,275.05 TransDigm trades at 31.8x the FY2026 consensus of $40.04 and 27.1x FY2027's $47.00, on a company that just grew revenue 22.5% with a 44.8% operating margin, holds a sole-source position one independent voice puts at roughly 80% of revenue, and has compounded revenue 12.8% a year for five years through an aviation downturn.

Our base of $1,340 is 5.1% above spot with 1.22:1 asymmetry, and there is no recurring shareholder yield to add to it.

Four reasons for the Watch.

First, the base case is a multiple assumption and a small one. At an unchanged 27.1x the fair value is $1,274 — the current price to within a dollar. All 5.1% comes from assuming the market pays one and a half more turns.

Second, interest expense is compounding faster than earnings. $397M → $420M → $475M → $484M → $514M across five quarters, up 29.5% year on year, against operating income up 18.1%. On $30,030 million of debt at 6.26x EBITDA with 2.43x coverage, that trajectory is the thesis risk, and the company just committed a further $1.066 billion of cash to an acquisition.

Third, the market rejected a double beat today. Opened 5.5% up, closed 0.82% down, a 9.3% intraday range. We cannot say why — the release and guidance are not in this archive — and a research process that issues a Buy while unable to explain a 9% reversal on the day's news is not being honest about what it knows.

Fourth, the knowledge base is uniformly positive and silent on the leverage. Three claims, all bullish, one of which caps its own position at "<1%" and names "rate-sensitive debt" as the risk. Every negative finding in this dive is filings-derived and none is independently corroborated. That is not an absence of risk; it is an absence of coverage.

The debt is $30,030 million, net leverage is 6.26x EBITDA, coverage is 2.43x, shareholders' equity is negative $9,686 million, and a further $1.066 billion cash acquisition was committed eight days ago. None of that threatens the business, whose 46% operating margin would survive a great deal — but the equity sits behind $30 billion of claims whose cost the company does not control, and the twelve-month return of MINUS 19.6% against an index up 24.3% is the market working through exactly that arithmetic.
